If you enter into a separate written agreement with ScaleKernel for professional services, that agreement controls for the engagement to the extent it conflicts with these Terms regarding paid deliverables.
Eligibility and accounts
The Site is intended for business users aged 18 or older. You represent that you have authority to bind any organization on whose behalf you use the Site.
If you create an account or access our client application, you are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of any unauthorized use.
Site vs. professional services
The Site provides general information about ScaleKernel's AI engineering, innovation, and growth services. Descriptions, case studies, pricing previews, and roadmap examples are illustrative and do not constitute a binding offer.
Paid engagements are governed by separate statements of work, master services agreements, or order forms that define scope, fees, timelines, intellectual property, confidentiality, and deliverables. Nothing on the Site replaces those contracts.
Acceptable use
You agree not to:
- Use the Site in violation of applicable law or third-party rights.
- Attempt to gain unauthorized access to systems, accounts, or data connected to the Site.
- Probe, scan, or test vulnerabilities without our prior written consent.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components. Information on the Site is for general informational purposes and is not professional, legal, financial, or technical advice. Outcomes described in case studies or examples are not guarantees of future results.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALEKERNEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US FOR SITE-RELATED SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

Indemnification

Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction apply.
Except where prohibited by law, you and ScaleKernel agree that disputes arising from these Terms or the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
Before filing suit, you agree to contact us at the email below and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Termination
We may modify, suspend, or discontinue the Site at any time. We may terminate or restrict your access for any reason, including breach of these Terms. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
General provisions

- Severability: If any provision is unenforceable, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver of future enforcement.
